TERMS AND CONDITIONS

Contract design

1.1
The conclusion of contracts between a client and Coverdale Team Management Deutschland GmbH (hereinafter referred to as Coverdale) concerning the services to be provided by both parties as well as any amendments and supplements thereto must be made in writing.

1.2
The present terms and conditions, which are attached to the contracts, shall also apply.

1.3
These Terms and Conditions shall take precedence over any conflicting General Terms and Conditions of the client.

 

Services

2.1
Coverdale provides its services through permanent and/or freelance consultants/trainers.

2.2
The scope, form, subject matter and objective of the services shall be specified in detail in the respective contract between the client and Coverdale.

2.3
Coverdale provides services in particular in the form of consulting and training (seminars, workshops).

2.4
Coverdale does not normally assume any guarantee for a specific success of the seminar, unless such a guarantee is expressly agreed specifically and in writing, including verifiable success criteria.

 

Securing the benefits

3.1
Coverdale warrants that the works made available by it for the execution of the order are not subject to any copyrights and/or other rights.

3.2
Before and during the agreed measures, the customer shall inform Coverdale on an ongoing basis of all circumstances that are of significance for the preparation and execution of the order. A responsible contact person shall be appointed by the client.

3.3
If parts of the action plan and/or the implementation of the assignment are commissioned by the client to third parties, Coverdale shall be commissioned to coordinate in order to achieve agreement on the conceptual and didactic requirements.

3.4
Coverdale undertakes to maintain confidentiality with regard to all commercially relevant processes of which it becomes aware through its cooperation with the customer.

3.5
Coverdale proposes the selection of media producers, equipment manufacturers, seminar hotels and other persons to be used by it to carry out the order.

3.6
Coverdale is entitled to subsequently offer its services to competitors in the customer’s market, unless otherwise agreed.

3.7
If an appointment cannot be kept by the client, the following shall apply in the event of cancellation

45-31 days before the agreed date 25%
30-14 days before the agreed date 50%
from 13 days before the agreed date 100%

of the fee.

3.8
If Coverdale is unable to meet an agreed date due to force majeure, illness, accident or any other impediment for which Coverdale is not responsible, Coverdale shall be obliged to name an alternative date as soon as possible. Claims for damages by the customer against Coverdale are excluded.

 

Copyright

4.1
The client acknowledges the copyright of Coverdale Team Management Deutschland GmbH to the works created by it (training documents etc.). Reproduction and/or distribution of the aforementioned works, even in modified form, requires the prior written consent of Coverdale.

Data protection

6.1
By accepting the order, the client declares that it complies with the provisions of the General Data Protection Regulation (GDPR).

 

General provisions

7.1
Should individual provisions of these terms and conditions be or become invalid, this shall not affect the validity of the remaining provisions. The parties shall then implement the terms and conditions with an effective replacement provision that comes closest to the purpose pursued by the condition that has ceased to apply.

7.2
These terms and conditions and their implementation shall be governed exclusively by German law.

7.3
In the event of a dispute, the place of jurisdiction is Munich.
